RELEASE

In exchange for the valuable virtual office service that My Office Help LLC provides, the user agrees to release My Office Help LLC, its officers, directors, affiliates, parent companies, partners, employees, and agents from any claims, demands, causes of action, losses, and damages of every kind and nature arising out of or connected with any dispute the user may have. This release applies to all known and unknown claims, disclosed and undisclosed, suspected and unsuspected.

However, this release does not apply to claims arising directly from My Office Help LLC’s material breach of this agreement. Additionally, for California residents, the user specifically waives California Civil Code Section 1542, which states that a general release does not extend to claims that the creditor does not know or suspect to exist at the time of executing the release, which, if known, may have materially affected their settlement with the debtor.

TERMINATION OF ACCOUNT

This Agreement will remain in full force and effect while you use our virtual office service. You have the right to terminate your account anytime for any reason. To cancel your account, email our dedicated customer support team at office@myofficehelp.com. Please note that your account may take up to 30 days to be fully disabled after cancellation.

On the other hand, we also reserve the right to terminate your account or this Agreement at any time, with or without cause. In such cases, we will send notice to the email address you provided during registration or any updated email address you may have shared with us.

While we are not obligated to provide you with prior notice before terminating your account, we want to assure you that all decisions regarding terminating accounts are made carefully. We may or may not disclose the reason for termination based on legal requirements or other circumstances.

It is important to understand that terminating your account does not negate the terms and conditions outlined in this Agreement. Even after your account is terminated, this Agreement will remain in effect.

You may be eligible for a refund if you have a paid account and choose to cancel it. Upon request to cancel, we will issue a refund within 14 days. However, please note that billing will continue for the following 30 days after the cancellation request. You consent to continued billing during these 30 days by using our service.

JURISDICTION AND CHOICE OF LAW

This Agreement between you and My Office Help is governed by and construed under the laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule. By using our Service, you expressly agree that any legal suit, action, proceeding, or other dispute arising out of this Agreement or the use of the Service shall be governed by the laws of the State of Illinois without regard to its conflict of law provisions.

Please note that the Service is controlled and operated by My Office Help LLC from its offices within the United States and is intended for users in the United States and Canada only. The Service does not intend to subject My Office Help LLC to non-U.S. jurisdiction or law. We make no representation that the information or materials on or linked through the Service are appropriate or available for use in other locations.

If you choose to access the Service from locations outside the United States and Canada, you do so at your initiative and risk. You are responsible for compliance with all applicable laws, rules, and regulations in your respective location. DISPUTE RESOLUTION

Our mutual agreement is that any legal disputes or claims that cannot be resolved informally will be submitted to binding arbitration in Illinois. The arbitration will be conducted by the American Arbitration Association or any other established Alternative Dispute Resolution (ADR) provider we agree upon.

Please note that any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. However, we strive to resolve disputes through arbitration to promote a more efficient and cost-effective resolution process.

Furthermore, to ensure a timely resolution, we kindly request that any claim, action, or proceeding related to our service be instituted within three (3) years after the cause of action arose. Lastly, we want to clarify that our disputes will only be resolved individually. You do not have the right to bring an action against us as a member or representative of a class or in any consolidated or collective action. Should legal action be necessary, all legal actions brought before a court must be filed and adjudicated in Williamson County, Illinois.

This Agreement’s benefits, rights, and remedies are exclusive to My Office Help LLC and our Pros.

Furthermore, as circumstances beyond our control can sometimes disrupt our operations, we acknowledge that a delay, failure, or default may occur. However, we clarify that this will not be considered a breach of our Agreement if it is caused by acts of war, terrorism, natural disasters, strikes or labor unrest, telecommunication or computer service disruptions beyond our direct control, or any other causes deemed beyond our reasonable control.

To adapt to any changes or developments, My Office Help LLC retains the right to assign its rights and obligations under the Agreement, whether through mergers, acquisitions, sales of assets or equity, or by operation of law. However, we also recognize the importance of maintaining stability and consistency. Therefore, user consent is required to assign any rights and obligations as stated in the Agreement, to ensure transparency and adherence to the terms agreed upon.

To ensure effective communication, My Office Help LLC may send important notices to users via their provided email contact points. These notices will be deemed received when sent, helping us promptly disseminate crucial information. We prioritize keeping our users informed and updated regarding changes or developments relevant to their virtual office services.

Similarly, users can also send notices on the Agreement to our designated email address. As we value open communication, all user notices will be deemed received when sent, allowing prompt responses and efficient resolution of any concerns or issues.

Our Miscellaneous provisions cover various aspects to ensure a fair and transparent business relationship.
